Board of Directors

The Board of Directors meets once a month and has the task of defining general policies and guidelines, as well as evaluating the projects proposed by the Executive Board and assessing the achieved results.

The Board of Directors is composed of seven members, elected by the General Meeting and removable by it, with a two-year term of office, with reelection being permitted.

Of the seven members, four are representatives of the majority shareholder, being one of them the Chief Executive Officer. One is a representative of the minority shareholders, one is an independent member and, finally, we have the representative counsellor of the company’s employees.

Delano Macedo de Vasconcellos Chairman of the Board of Directors

Delano Macedo is a civil engineer graduated from the Federal University of Ceará (1990), with an Executive MBA in Finance from the Brazilian Institute of Capital Markets – IBMEC (1997), specialization in Accounting Management (UFC-2000) and in Business and Project Management from Fundação Dom Cabral (2007), Business MBA from Fundação Dom Cabral (2007). He acts as managing partner at CPD Capital Consultoria LTDA, was a partner and administrator of Parallax Venturex LTDA, executive director of Banco Petra S/A and Petra Corretora de Titulos e Valores Mobiliários LTDA, was executive partner of SM Fomento Comercial LTDA and Sm Consultoria Empresarial LTDA. He is also registered as a Professional Third Party Resource Manager and serves as vice president of the Brazilian Institute of Finance Executives (National IBF) for the 2019-2021 term.

Carlos Emanuel Brito Salmito Council member

Electrical Engineer, graduated from the Federal University of Ceará (UFC), with a specialization in Public Administration (Estácio/FIC-2012). He worked at the Port Integration Company (CearaPortos), from 2002 to 2005, with the position of Commissioned Support Technician. He joined Cagece in 2006 as an Operations and Maintenance Engineer, being supervisor of Automation Maintenance (2008-2013), manager of Electromechanical and Automation Maintenance (2013-2015), and currently responsible for the North Business Superintendence.

Eduardo Sávio Passos Rodrigues Martins Council member

Civil Engineer and PhD from the School of Civil and Environmental Engineering – Cornell University (2001), Eduardo Sávio is currently an adjunct professor at the Federal University of Ceará – UFC, a collaborating professor in the Graduate Program in Climate and Energy at the State University of Ceará – Uece and president of the Cearense (Ceará’s) Meteorology and Water Resources Foundation – Funceme. He is currently a representative of the International Association for Hydrological Sciences (IAHS) in Brazil. Works in the ​​Sanitary Engineering area, with emphasis on Hydrology.

Neuri Freitas Council member

Graduated from the University of Fortaleza in 2000 in Accounting Sciences, Neuri also has a master’s degree in Controllership from the Federal University of Ceará – UFC (2008). He has an MBA in Controllership and Finance from the University of Grande Rio (2001). With performance in the administrative and financial areas, he has worked mainly in the sphere of controllership, accounting, costs, management information system and budget. At Cagece, he was Market Director, and Manager of the Finance and Controllership departments.

Ricardo Eleutério Rocha Council member

Economist, full professor at the University of Fortaleza – Unifor, economic analyst with experience in academic and university management, advisor to CORECON-CE (Regional Council of Economics) and member of the Board of Trade of the State of Ceará (JUCEC). Ricardo has a degree in Economic Sciences from the University of Brasília – UnB; has a specialization course in Financial Administration (UNIFOR) and a master’s degree in Economics (CAEN/UFC). He has a master’s degree in International Business from UNIFOR.

Sarah Feitosa Cavalcante Andrade Council member

Ms. Sarah Feitosa Cavalcante Andrade is a lawyer with 20 years of experience and, Post-Graduation in Public Law from the Christus University, graduated from the Federal University of Ceará – UFC, specialist in the area of Electoral Law, she was elected partner-owner of the law firm Feitosa & Simões, taught Business Law and Public and Private Law Institutions at the Latin American Faculty; She was the coordinator of the Official Gazette of the Municipality of Fortaleza and is currently hired by an outsourced company and is based in the Comptroller General of the Municipality of Fortaleza – CGM.

Statutory Audit Committee

The Statutory Audit Committee is a body linked to the Board of Directors of Cagece and its function is to support the board in checking, verifying and analyzing information, mainly related to risk, governance and internal audit.

The committee is composed of three members and its duties are to supervise the executed activities of internal control, internal audit and the preparation of the company’s financial statements; monitor the quality and integrity of the internal control mechanisms, the financial statements and the information and measurements released by the company; evaluate and monitor the company’s risk exposures, among other duties.

Clara Germana Rocha Committee Coordinator

Graduated in Accounting Science at the University of Fortaleza – Unifor and graduated in Law, Clara Germana is an accounting expert registered in the National Register of Accounting Experts – CNPC. She holds a postgraduate degree in Tax Planning from the Federal University of Ceará – UFC and is a member of the university extension course Social Control of Public Accounts (Fundação Demócrito Rocha and UFC).

Lilia Palmeira Pinheiro Committee Member

With a doctorate in Sociology from the Federal University of Ceará – UFC (2017), a master’s in Philosophy also from UFC (2006), specialization in Clinical Philosophy (2011) and a degree in Philosophy from the State University of Ceará – Uece (2000), Lilia has experience as professor in the area of ​​Philosophy, with emphasis on Logic, Philosophy of Language and Philosophy of Science. Currently, she is dedicated to scientific research and teaching Philosophy at UFC and Uece.

Renato César Pereira Lima Committee Member

Mr. Renato César Pereira Lima holds a law degree from the University of Fortaleza (Unifor). He is a specialist in Business Law (ESA / UVA) and a master in Law and Conflict Management (Unifor). He practiced law for a decade, having served as legal advisor to the Constitution, Justice and Drafting Commission of the Legislative Assembly of the State of Ceará and as a state advisor to the Brazilian Bar Association (OAB-CE). He was secretary of Regional VI and Municipal Secretary of Regional Management.

Fiscal Council

Cagece established a permanent Fiscal Council made up consisting of five members and an equal number of alternates, elected at the General Shareholders’ Meeting for a one-year term. Its prerogatives, duties and responsibilities are provided for by Law 6.404 / 76.

Among its duties, we highlight the analysis of balance sheets and other financial statements prepared periodically by the Company.

As for the frequency of meetings, the Fiscal Council meets, ordinarily, once a month.

Paulo Henrique Ellery Lustosa Board Chairman

With a master’s degree in Social Policy from the University of Brasília (2002), a lato sensu postgraduate degree in Financial Administration from the Getúlio Vargas Foundation and a degree in Business Administration from the Brasília Unified Education Center (1990), Paulo Henrique is also a doctor from the Development and Environment Program by the Federal University of Ceará – UFC. He is currently a federal deputy for the State of Ceará and has professional experience in administration, with an emphasis on Public Administration, especially in social policy planning and evaluation. He was a professor of postgraduate courses in institutions such as the National School of Public Administration (Enap), Fundação Getúlio Vargas (EBAPE-FGV), Fundação João Pinheiro, among others. Currently, he holds the position of Executive Secretary of Sanitation Seneamento at the Secretary of Cities of the State of Ceará.

Francisco das Chagas Cipriano Council member

Graduated in Social Communication from the Federal University of Ceará, with a specialization in Telejournalism from the Catholic Faculty of Ceará and an MBA in Business Management from Fundação Getúlio Vargas (FGV). He is a member of the Board of Directors of the Development Agency of the State of Ceará S.A. – ADECE. He has served on other councils of state-owned companies in Ceará, such as the Fiscal Council of Companhia Cearense de Transportes Metropolitanos (Metrofor), the Fiscal Council of Companhia de Desenvolvimento do Ceará (Codece), among others. For more than 20 years he has worked on communication systems in the states of Ceará, Bahia and Pernambuco, having commanded the communication area of ​​the Government of the State of Ceará since January 2015, as a Special Advisor. He currently holds the position of Secretary of State Chief of Staff.

João Pupo Aguiar Council member

Lawyer, specialist in Public Law from the Federal University of Pernambuco – UFPE and in Tax Law and Proceedings at the University of Fortaleza – Unifor, João Pupo was attorney general of the municipality of Sobral, head of the Legal Department of the Municipal Health Secretariat of Fortaleza and superintendent of the Traffic State Department of Ceará (Detran-CE).

José Élcio Batista Council member

Mr. José Élcio Batista was Executive Secretary of the State Academy of Public Security (AESP) between the years 2011 and 2012. Also in 2011, he was responsible for the restructuring and Strategic Action Plan (2011/2012) of the Instituto de Estudos e Research on the Development of Ceará (INESP / CE). Before that, in 2007, he worked with the Program Management Unit – UGP of the Inter-American Development Bank (IDB) / Fortaleza City Hall, the same period in which he was Planning Advisor at the Institute of Art and Culture of Ceará (IACC). He also worked in the elaboration and execution of projects of the Communication Group O Povo, where he was presenter and debater of television programs on TV O Povo and Rádio O Povo / CBN, between 2007 and 2011. At the National Works Department Contras à Secas (DNOCS), he worked between 2004 and 2005, where he contributed as a researcher and guest editor of Revista Conviver Nordeste, a DNOCS own publication. José Élcio Batista attended the University of São Paulo (USP) in 1997, as a fellow of the National Council for Scientific and Technological Development and brought with him a range of concerns that gave the north to his lines of research as a sociologist. He held the position of Secretary of the Civil House of the State of Ceará between 2015 and 2020. In 2020, he was elected to the position of Vice Mayor of the Municipality of Fortaleza / CE, assuming at the beginning of his term also the role of Superintendent of the Planning Institute of Fortaleza – IPLANFOR.

Rafael Rezende Brigolini Council member

Mr. Rafael Brigolini is graduated in Economics by the State University of Campinas (UNICAMP). Federal Public Servant since 2005. Specialist in Regulation of Telecommunications Services. Since 2007, he works at the National Treasury Secretariat, where he has held responsibilities as Manager, Coordinator and General Coordinator. He is currently the General Coordinator of Fiscal Operations at the Undersecretariat of Fiscal Management. He was a member of the Fiscal Council of Instituto Brasileiro do Algodão (IBA), Companhia de Água e Esgoto do Rio Grande do Norte – CAERN, EMBRAPA (substitute), Eletronorte, BB Seguros, Banco do Brasil Banco de Investimento S A, and Eletrobrás.

Neuri Freitas Chief Executive Officer

Graduated in Accounting from the University of Fortaleza (2000), MBA in Controllership and Finance from the University of Grande Rio (2001), Master in Controllership from the Federal University of Ceará (2008). With a vast performance in the administrative and financial areas, with emphasis on Accounting Sciences, he worked mainly on the following themes: controllership, accounting, costs, management information system and budget. At Cagece, he has held positions as financial manager and the Controllership department. He is currently vice president of the Northeast Region I, which is part of the Board of Directors of the Brazilian Association of State Sanitation Companies (Aesbe). The Northeast I region includes, besides Ceará, the states of Maranhão, Piauí, Rio Grande do Norte and Paraíba.

Dario Perini Financial and Investor Relations

A career employee at Cagece, he joined the competition in 2004. Business Administrator, specialist in Financial Administration at the State University of Ceará (UECE) and master in Administration and Controllership at the Federal University of Ceará (UFC), has extensive experience in the financial area and accounting of Cagece. He was at the helm of the Financial Management from 2007 to 2013 and of the Financial and Accounting Management from 2013 to 2014, in addition to being Financial and Assets Superintendent from Nov/2014 until Mar/2015. He served as Director of Corporate Management between March 2015 and January 2020.

João Menescal Operations Director

Graduated in Civil Engineering from UFC (1996), master in Hydraulics and Sanitation, from EESC/USP (2003), postgraduate in Project Management, specialization in Business Management from SEST SENAT ITL (2019). He has already been a special project management advisor at the Secretariat of Insfrastructure of the City Hall of Fortaleza (2013-2015) and also director of implementation at Metrofor (2015/2020).

Cláudia Caixeta Market Director

Chemical Engineer (1996) and career employee at Cagece since 2002, she holds a PhD in Environmental Sanitation (2001) from the Federal University of Ceará (UFC) and a Master’s Degree in Chemical Engineering (1999) from the Federal University of Uberlândia (UFU). At Cagece, the engineer has worked in the Environment Management, the Business Development Management and the Responsibility and Social Interaction Management, having been a manager in the last two. In addition, she taught at institutions of technical education such as Cefet, Centec and FIC.

Bruno Barreira Corporate Management Director

Graduated in Law and Informatics from the University of Fortaleza (Unifor), with specialization in Computer Networks by the same institution. Since 1999, he works in Caixa’s Urban Development area. He coordinated the execution of the main federal funds transfer and financing programs for the Public and Private sectors, focused on the areas of housing, sanitation and infrastructure.

Hélder Cortez Interior Business Director

Industrial Chemist, graduated from the Federal University of Ceará. A career employee for 34 years, he has held several positions at Cagece. He was responsible for replicating of the Sisar management model in the State of Ceará and implementing the Rural Sanitation Program – São José Project in Cagece. He has already presented the Sisar model in Peru, Bolivia, Mexico, Panama, El Salvador, Nicaragua, Ethiopia, India and Mexico. Represents Cagece in the Committee for Coexistence with Drought.

José Carlos Asfor Engineering Director

Civil Engineer (1999), he has been a member of Cagece since 2002. In his career, he has served as advisor to the Engineering Directorate, Support Manager to the Environmental Sanitation Coordination, Deputy Director of Planning and Control and Superintendent of Planning and Funding of resources. The engineer is a specialist in Supply and Residual Water Systems (2004) and obtained the Project Management Professional (PMP®) certification in 2010.

Victor Almeida Legal Director

Lawyer, graduated in Law from the University of Fortaleza – Unifor (2009), specialist in Tax Law and Process from the University of Fortaleza – Unifor. Certified IS0 31000 Risk Management Profess ional. Professor of the Postgraduate Course in Public Bids and Contracts at the Sete de Setembro University. He was Legal Coordinator of the Civil House of the State of Ceará from 2015 to 2019; Member of the Deliberative Council of the State Roads Department – DER; member of the Fiscal Council of the Ceará State Water Resources Management Company – Cogerh; member of the Board of Directors of the Ceará State Development Agency – Adece; full member of the Technical Group of Public-Private Partnerships of the State of Ceará – GTP/Seplag; and Full member of the Technical Group on Access to Information – GTA / CGE.
