Board of Directors
The Board of Directors meets once a month and has the task of defining general policies and guidelines, as well as evaluating the projects proposed by the Executive Board and assessing the achieved results.
The Board of Directors is composed of seven members, elected by the General Meeting and removable by it, with a two-year term of office, with reelection being permitted.
Of the seven members, four are representatives of the majority shareholder, being one of them the Chief Executive Officer. One is a representative of the minority shareholders, one is an independent member and, finally, we have the representative counsellor of the company’s employees.

Statutory Audit Committee
The Statutory Audit Committee is a body linked to the Board of Directors of Cagece and its function is to support the board in checking, verifying and analyzing information, mainly related to risk, governance and internal audit.
The committee is composed of three members and its duties are to supervise the executed activities of internal control, internal audit and the preparation of the company’s financial statements; monitor the quality and integrity of the internal control mechanisms, the financial statements and the information and measurements released by the company; evaluate and monitor the company’s risk exposures, among other duties.

Bachelor of Law from the University of Fortaleza, with postgraduate degrees in Criminal Procedural Law and Sociology, and also has a Master’s degree in Constitutional Law. She worked as a legal analyst at the Fortaleza Municipal Attorney’s Office, President of the Women Lawyers Commission of the Brazilian Bar Association (OAB) Ceará, State Counselor of the OAB Ceará, Vice-president of the OAB/CE, Vice-president of the Cearense Council for Women’s Rights and is an effective member of the Ceará Lawyers’ Institute and the Brazilian Lawyers’ Institute. She is currently President of the OAB, Ceará section (2025/2027). |
Fiscal Council
Cagece established a permanent Fiscal Council made up consisting of five members and an equal number of alternates, elected at the General Shareholders’ Meeting for a one-year term. Its prerogatives, duties and responsibilities are provided for by Law 6.404 / 76.
Among its duties, we highlight the analysis of balance sheets and other financial statements prepared periodically by the Company.
As for the frequency of meetings, the Fiscal Council meets, ordinarily, once a month.

Graduated and Master in Social Communication. She was National Secretary for Social Articulation of the General Secretariat of the Presidency of the Republic. She served as Special Advisor for Communication and Director of the Public Communication Center of the Social Communication Secretariat (Secom) of the Presidency of the Republic between 2006 and 2011. She also served as Special Advisor to the Communications Advisory Office of the Ministry of Planning, Budget and Management from 2011 to 2015. She was Special Advisor to the Presidency at Caixa Econômica Federal from 2015 to 2016 and Superintendent of Communication and Marketing of the Superintendence of Communication and Marketing of the National Federation of Associations of Caixa Econômica Federal Staff (Fenae) from 2019 to 2021. She currently holds the position of special advisor to the Executive Secretary of the Civil House of the Presidency of the Republic. |

He served as Municipal Secretary of Itaitinga, Director of the Ceará Industrial Technology Center (NUTEC), and an Advisor to the Ceará Meteorology Foundation (FUNCEME). An economist by training, José Leite Gonçalves Cruz was in the last years in the presidency of the Supply Centers of Ceará S/A (Ceasa). With experience in the administration area, he has a master’s degree in International Business from Unifor and was executive secretary of Planning and Internal Management of the Secretariat of Agrarian Development of the State of Ceará (SDA). He was president of the Agropolos Institute and headed the SDA’s Planning and Management Coordination. José Leite was also mayor of the city of Barbalha for two consecutive mandates and a career employee at Banco do Brasil for 32 years. |
